Memorandum of Associaation drafted

On February 13, 2011, the core working group of Bhutan Kidney Association completed drafting of Memorandum of Association. The draft is as follow:

MEMORANDUM OF ASSOCIATION
BHUTAN KIDNEY ASSOCIATION

1. Name of the Organisation:
The organisation shall be called Bhutan Kidney Association

2. Regd. Office of the Organisation:
The registered principal office of the Association shall remain in Thimphu, the capital city of Bhutan and current address of the office is: Post Box # 448, Thimphu, Bhutan

3. Purpose of the Organisation:
The main purpose of the organisation, for which it has been established, is to help kidney-related patients of Bhutan to remain healthy so that they can also participate meaningfully in the socio-economic development of the country like their fellow citizens, thereby contributing to Gross National Happiness

4. Aims, Objects and Scope of Activities of the Organisation:
The primary aims and the objects of establishing the organisation are hereunder:
a) To promote overall well being of kidney patients of Bhutan through:
• Public advocacy campaigns on healthy diets,
• Promotion of physical exercises and sports among kidney patients,
• Education on tobacco, alcohols and other drugs,

b) To facilitate early detection of the kidney diseases through:
• Proper counseling,
• Facilitating health screening programmes such as blood tests and blood pressure, urine and sugar checkups,

c) To ensure all kidney patients have easy access to high quality and affordable care and rehabilitation services by:
• Helping the patients get to the right doctor as and when necessary,
• Helping the patients in the referral procedures and providing them with necessary guidance thereafter,
• Facilitating the timely supply of prescribed medicines for kidney transplant recipients,
• Ensuring adequate dialysis for chronic kidney failure patients,
• Providing basic necessities for the economically disadvantaged kidney patients in the hospitals, and
• Establishing rehabilitation-dialysis centre for kidney patients,

d) To collaborate and coordinate with relevant agencies both within the country and abroad to facilitate:
• Easy exchange of technical and human resources,
• Obtaining funds from external sources,
• Periodical research studies on kidney-related diseases in Bhutan,

e) To raise funds and facilitate financial supports for kidney patients and their families, especially the underprivileged by:
• Paying for their travels and accommodations during the treatments,
• Providing loans without interest to help them earn their livelihoods, and
• Supporting the family members during the death of patients

f. To establish renal transplantation programmes in Bhutan as well as to promote and facilitate organ donations by:
• Inviting professional doctors for transplant programmes from abroad at regular intervals,
• Promoting the practice of organ donations by organizing workshops, seminars, fairs, media publications, etc

5. Beneficiaries of the Organization:
The Association’s beneficiaries comprise individuals, kidney patients and other agencies committed to the service of kidney patients of Bhutan or otherwise meeting the goals and objectives set forth in this Article, and the funds provided by the Association are not for personal profits.

6. Funding Sources and Assets:
The assets of the Association shall be created through grants, contributions, donations and any other means in keeping with the laws of the country. The dividends, income and earnings on the assets of the Association or from the sale or lease of properties shall also be included in the Association’s funds

7. Insolvency, Dissolution and Liquidation Agreement:
The Association may, merge or consolidate with another Civil Society Organization established under Bhutan law for a similar purpose only after approval by a vote of two-thirds of the Board of Trustees
• The Association may be terminated or dissolved only after approval by a vote of two-thirds of the Board of Trustees.
• In the event of Termination or Dissolution, all advisors or advisory committee members shall be consulted to decide on the use of the remaining assets of the Association for the benefit of kidney patients of Bhutan

8. Declaration
We, the Board Member s and office bearers of the Association affirm that all incomes, earnings, movable or immoveable properties of the organization shall be entirely utilized for the promotion of its aims and objectives as specified in the Articles of Association.
